Terms of Engagement

A note on credentials and scope: BookkeepOrr provides bookkeeping, financial operations, and advisory services. BookkeepOrr is not a CPA firm and does not prepare or file federal income tax returns. State and local sales tax filing is provided directly. For federal tax preparation, filing, and representation, clients should work with a licensed CPA — BookkeepOrr will coordinate directly with that CPA, including handling PBC (prepared-by-client) requests, to make that process smoother.

1. Scope of Services

Services are provided according to the specific engagement agreed with each client, which may include bookkeeping, financial reporting, state and local sales tax filing, systems onboarding, financial planning and analysis, and related advisory services. The exact scope, deliverables, and pricing for each engagement will be set out in a separate proposal or engagement letter.

2. Fees & Billing

Fees are billed according to the tier and scope agreed at the start of an engagement, typically as a fixed monthly fee for ongoing services or a fixed project fee for one-time work such as books cleanup. Final pricing within any published range is determined based on transaction volume, entity count, and complexity, and will be confirmed in writing before work begins. Invoices are due upon receipt unless otherwise agreed in writing.

No deposit is required to begin an ongoing monthly engagement; the first month is billed in the same manner as subsequent months. One-time projects, including books cleanup and catch-up and systems onboarding, require a deposit before work begins, with the balance due upon completion or per the terms of the engagement letter.

3. Client Responsibilities

Clients agree to provide timely, accurate, and complete access to financial records, accounts, and systems reasonably necessary to perform the agreed services, and to respond promptly to requests for information or documentation.

4. Confidentiality

BookkeepOrr will treat all client financial and business information as confidential and will not disclose it to third parties except as necessary to perform the agreed services, as directed by the client (such as coordination with the client's CPA), or as required by law.

5. Independent Contractor Relationship

BookkeepOrr provides services as an independent contractor, not as an employee, partner, or fiduciary agent of the client, except to the extent explicitly agreed in a separate engagement letter.

6. Term & Termination

Engagements continue on a month-to-month basis (for ongoing services) or until completion (for project-based work), and may be terminated by either party with 30 days' written notice. Upon termination, BookkeepOrr will provide the client with reconciliation worksheets and supporting documentation needed to transition books in-house or to a new provider.

7. Limitation of Liability

To the fullest extent permitted by law, BookkeepOrr's total liability arising out of or related to any engagement, whether in contract, tort, or otherwise, is limited to the total fees paid by the client for the services giving rise to the claim during the three months immediately preceding the event giving rise to the claim. BookkeepOrr is not liable for indirect, incidental, special, or consequential damages, including lost profits, arising from the services provided. BookkeepOrr's work relies on the accuracy and completeness of financial records and information provided by the client, and BookkeepOrr is not responsible for errors or omissions resulting from inaccurate, incomplete, or untimely information the client provides.

8. Governing Law

These terms and any engagement entered into under them are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any disputes arising under these terms will be resolved in the state or federal courts located in Travis County, Texas.

9. Changes to These Terms

These general terms may be updated from time to time; the terms in effect at the start of a specific engagement will govern that engagement unless otherwise agreed in writing.
